‘THE COOLEST THING IS EVERYTHING’ RAP VIDEO CONTEST OFFICIAL RULES ’

CONTEST OPEN TO RESIDENTS OF CANADA AND THE USA (some exclusions apply).

THESE ARE THE OFFICIAL RULES ’ (THE “RULES”) FOR THE ‘‘THE COOLEST THING IS EVERYTHING’ RAP VIDEO CONTEST’ (THE “CONTEST”) OFFERED BY GANZ (THE “SPONSOR”). BY ENTERING, EACH ENTRANT (THE “ENTRANT”) IS DEEMED TO HAVE AGREED TO FOLLOW THE RULES. NO PURCHASE IS NECESSARY TO ENTER THE CONTEST.

1. The Contest begins on Monday October 21st, 2011 at 3:00pm EST and ends on Thursday, November 21st, 2011 at 11:59 pm EST (“Contest Submission Period”).

2. In order to enter the contest,during the Contest Submission Period, on the Ganz YouTube page (http://youtube.com/GanzVideos), the Entrants must click “respond to video” on the video titled “Webkinz RAP Contest” and upload their video, rapping their own lyrics. (“the Submission”) .

3. Videos will be judged by a panel of judges that will choose 5 winners (each, a “Winner”) based on the following criteria: creativity and quality of the video. Judges will pick the Winners and will announce all 5 as Winners at the same time.

4. There are 5 prizes available to be won consisting of 10 plush Webkinz toys and 10,000 KinzCash (each ,a “Prize”). Each Winner will receive a Prize.

5. Each Winner will receive 10,000 in KinzCash to a Webkinz Account of their choice.

6. The odds of winning the Prize depend on the number and quality of Submissions received during the Contest Submission Period.

7. Entrants may not include in their Submission any recording of any musical composition(s) or song that includes copyright, trademark or personality rights owned by any other party.

8. Entrants must not submit any materials that are obscene or otherwise not in good taste or inappropriate for the Contest.

HOW TO ENTER:

9. Visit http://webkinznewz.com/RAP and follow the instructions and rules before making the Submission. If you do not have access to the Internet and wish to enter online please inquire with your local library to see if they provide Internet access or visit an Internet Café.

10. A maximum of one (1) Submission per person during the Contest Submission Period is allowed. Submitting a video as a video response constitutes a single Submission. If the Sponsor determines that an Entrant has attempted to enter more than one (1) time, all Submissions from that person will become void. Submissions will be rejected if they are not fully completed or received by the Sponsor during the Contest Submission Period, or if they do not comply with the Rules, as determined in the sole and final discretion of the Sponsor.

ELIGIBILITY:

11. This Contest is open to residents of Canada and the USA who have reached the age of majority in their State, Province or territory of residence at the time of Submission. If the Entrant is a child under the age of majority, his or her Submission must be entered by his/her parent or legal guardian. Residents of the Province of Quebec, States of New York and Florida are excluded from participation in the Contest.

12. You are not eligible if you are an employee of Sponsor, its partners, affiliates, subsidiaries or related companies, advertising or promotional agencies or a member of the immediate family of any such employee. For the purpose of the Contest, “immediate family” includes spouse, mother, father, sisters, brothers, sons and daughters, whether living in the same household or not.

THE PRIZE:

13. The “Prize” will be delivered to the address provided by the Winner via mail delivery service within 30 days of the award. The Winner must provide Sponsor with their full legal name and delivery address within 10 days of being declared a Winner. No deliveries to post office boxes. 14. The Winner must provide the Sponsor with the username of their active Webkinz World account within 30 days of the award to receive the 10,000 KinzCash Prize portion.

15. The 5 Winners will be featured in a remixed video produced by the Sponsors. The winners video featuring 5 Winners may be published on YouTube (http://youtube.com) and on the Sponsor’s websites “GanzWorld” (http://ganzworld.com/webkinznewz) and (http://ganzworld.com/parentclub). To be featured in the winners video, the Winner must provide the Sponsor with a signed model release form within 10 days of being declared a Winner. The model release form can be delivered to the Sponsor via fax, email or via registered mail.

16. The Prize must be accepted as awarded. The Sponsor reserves the right in its sole discretion to substitute the Prize for prize component of equal or greater value.

WINNER SELECTION:

17. Submissions that do not comply with these Rules as determined solely by the Sponsor will be disqualified.

18. No correspondence will be entered into except with the Winners.

19. The Sponsor will use the Winner’s personal information for identified purposes only and in a manner that is consistent with its Privacy Policy, posted on www.webkinznewz.com.

20. Submissions will be deemed to be submitted by the authorized account holders of the YouTube accounts. “Authorized Account Holder” shall be the natural person who is assigned a YouTube account.

GENERAL:

21. Sponsor reserves the right, in its sole discretion, to terminate the Contest, in whole or in part, and/or modify, amend or suspend the Contest and/or the Rules in any way, at any time, for any reason without prior notice.

22. By entering this Contest, the Entrants acknowledge that all Submissions become the property of Sponsor and will not be returned. Sponsor may at its sole discretion select a number of Submissions and post them on a website, as is, or as they may be edited in Sponsor’s sole discretion.

23. The Sponsor assumes no responsibility for incomplete, lost, stolen, delayed, damaged or misdirected Submissions or for any failure of any website, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any Submission to be received by the Sponsor on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to the Entrant’s or any other person’s computer related to or resulting from up-loading or down-loading any material in connection with the Contest.

24. Submissions that are irregular, have been submitted through unapproved means, or which do not otherwise conform with or satisfy any or all conditions of these Rules will be void. By entering, each Entrant agrees to abide by these Rules and the Sponsor’s decisions, which shall be final and binding in all matters related to the Contest.

25. The Contest is subject to all applicable federal, provincial and municipal laws and regulations. Void where prohibited by law. All issues and questions concerning the Contest shall be governed by and construed in accordance with the laws of the Province of Ontario and federal laws applicable therein excluding any rule or principle of conflicts of law that may provide otherwise. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

26. All intellectual property, including but not limited to trademarks, trade names, logos, web pages and promotional materials are owned by the Sponsor or its licensors. All rights are reserved. Any unauthorized reproduction of any intellectual property without the express written consent of its owner is strictly prohibited.

27. YouTube are not sponsors of this Contest nor do they have any responsibility or liability regarding this Contest.
